Introduction

These conditions apply when Cozy Onyx Legal Office Kabushiki Kaisha ("the office") provides an Employment Rules Review, an Individual Consultation or Workplace Policy Drafting. The scope, fee and timetable for each engagement are confirmed in writing before work begins, and that confirmation forms part of these conditions.

Starting an engagement

An engagement begins only when the office has confirmed in writing that it will act, and, for company engagements, when the conflict check described in the Privacy Policy is complete. The office may decline a matter without giving reasons, in which case any information received is handled as described in the Privacy Policy.

What the office provides

Employment Rules Review: A written assessment of one set of work rules and related documents, with suggested revised wording, delivered within about two weeks of receiving complete documents.

Individual Consultation: One hour, in person in Kyoto or online, followed by a short written summary. The consultation explains your position; it does not recommend a particular course of action.

Workplace Policy Drafting: One internal policy drafted for your workplace, with a plain-language summary for staff.

The office does not represent clients in negotiations, labour tribunals or court proceedings as part of these services, and does not prepare filings to the Labour Standards Inspection Office. Where a matter requires such steps, the office will say so and suggest that you consult an appropriately qualified professional.

Your responsibilities

Complete information: Provide the documents and facts the office asks for, and tell us promptly if something changes.

Accuracy: Advice is based on what you provide. The office cannot be responsible for conclusions drawn from incomplete or inaccurate information.

Use of drafts: Revised wording and draft policies are for the workplace named in the engagement. Before adoption, work rules may need to be consulted on with employee representatives and filed as required by the Labour Standards Act; this remains the employer's responsibility.

Fees and cancellation

Fees are those shown on the services page, including consumption tax, unless a different fee is confirmed in writing. Consultations cancelled less than one working day in advance are charged in full. Review and drafting fees are payable on delivery by bank transfer within fourteen days.

Limits of responsibility

The office will carry out its work with reasonable care. Its liability for any loss arising from an engagement is limited to the fee paid for that engagement, except where the loss results from intent or gross negligence, or where such a limit is not permitted under the Consumer Contract Act or other applicable law.

Timing and communication

The office will tell you promptly if a review or draft cannot be delivered on the date confirmed, and why. Communication is by email or telephone during office hours. Because employment matters can involve deadlines set by law, please tell the office at the outset of any date by which you must act; the office cannot be responsible for a deadline it was not told about.

Confidentiality

The office keeps confidential all information received in the course of an engagement, and will not use it for any other client. This obligation continues after the engagement ends.

Law and jurisdiction

These conditions are governed by the laws of Japan. The parties will first seek to resolve any dispute by consultation in good faith. Failing that, the Kyoto District Court shall have exclusive jurisdiction in the first instance. If any provision is held invalid, the remainder is unaffected.
